Disclaimers and Limitation of Liability

No Warranty

Our services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by applicable law, Pipeshift and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or business opportunities
Loss of data or information
Business interruption or loss of use
Failure to achieve expected outcomes or results
Cost of substitute services or training

These limitations apply regardless of the legal theory on which a claim is based (whether contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Maximum Liability

Our total aggregate liability to you for all claims arising out of or related to these Terms and Conditions or your use of our services shall not exceed the amount you paid to us in the twelve months immediately preceding the event giving rise to the liability, or one thousand Indian Rupees (₹1,000), whichever is greater.

Consequential Damages Exclusion

We specifically disclaim liability for any outcomes related to your career advancement, job placement, salary changes, or professional development resulting from participation in our programs. While we aim to provide valuable education, individual results vary based on numerous factors beyond our control.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions if such failure or delay is due to circumstances beyond our reasonable control. Such circumstances include but are not limited to:

Acts of God, natural disasters, or severe weather conditions
War, terrorism, civil unrest, or government actions
Pandemics, epidemics, or public health emergencies
Power failures, internet outages, or telecommunications failures
Fires, floods, earthquakes, or other catastrophic events
Labor disputes, strikes, or lockouts

During such events, we will make reasonable efforts to minimize disruption to our services and will work to resume normal operations as soon as practicable. We may modify program schedules, delivery methods, or other aspects of our services as necessary to address force majeure circumstances.

Legal Information and Dispute Resolution

Governing Law

These Terms and Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding relating to these terms shall be brought exclusively in the courts of Pune, Maharashtra, and you consent to the personal jurisdiction of such courts.

Dispute Resolution Procedures

Before initiating any formal legal proceedings, we encourage you to contact us directly to attempt to resolve any disputes informally. Many concerns can be addressed through constructive dialogue. If informal resolution is unsuccessful, you agree to the following dispute resolution process:

First, you must send written notice of the dispute to us, providing a detailed description of the issue and any relevant documentation. We will have 30 days to respond and attempt to resolve the matter. If we cannot reach a resolution, either party may proceed with formal legal action in accordance with the governing law provisions.

You agree to pursue claims on an individual basis and not as part of any class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

Jurisdiction and Venue

You agree that any legal action arising from these Terms and Conditions must be filed within one year after the claim arose, or it will be permanently barred. The exclusive venue for any disputes shall be the courts located in Pune, Maharashtra, India.

Modification of Terms

We reserve the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this document and may provide additional notice through our website, email, or other appropriate channels.

For material changes that significantly affect your rights or obligations, we will provide notice at least 30 days before the changes take effect. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations under these terms at any time without notice or consent. Any attempted assignment in violation of this provision shall be null and void.

Headings

The section headings in these Terms and Conditions are for convenience only and have no legal or contractual effect. They shall not be used to interpret or construe any provisions of these terms.

Survival of Terms

Certain provisions of these Terms and Conditions shall survive the termination or expiration of your relationship with Pipeshift. These include but are not limited to:

Any other provisions that by their nature should survive termination

The survival of these provisions ensures that both parties remain protected even after the termination of services.
